The term "Real World Asset Tokenization" refers to taking real, existing value in the form of various types of investments (stocks, bonds, homes, and other real estate, as well as investment strategies) and converting them into digital currencies on a distributed ledger (blockchain). By providing individuals a way to own parts of these investments without being forced to buy a full unit (i.e., purchasing shares), individuals are able to buy portions of equity, bonds, or other assets that were previously unavailable to them. The idea behind RWAT has been around for quite some time, but as with all technologies, there are still many barriers that prevent widespread implementation of RWAT as an established market model. The pace of development has been very slow in the RWAT space due to a lack of regulatory guidance and continued variation in the way regulators interact with RWAT. According to Ashley Ebersole, Chief Legal Officer of Sologenic and former Senior Counsel at the U.S. Securities and Exchange Commission (SEC), the biggest constraint for adopting RWAT is not technological capabilities, but the lack of continued, structured communication between innovators and regulators. He draws this conclusion from his direct experience at the SEC from when he joined in January 2015 through his work participating in the agency’s initial efforts to evaluate how existing securities laws would apply to blockchain based assets. In 2017, the SEC's investigation of The DAO made clear milestones in how the regulatory landscape viewed digital assets. In its investigation, the SEC identified whether the tokens created by a decentralized autonomous organisation (DAO) would be classified as securities in regard to the Howey test. The Howey test gives rise to an investment contract where the customer gives cash or other assets to an organisation and expects to reap the benefits resulting from the efforts of that organisation. The DAO Report has encouraged further development in the application of the Howey Test to other digital assets. As Ebersole notes, the subsequent years were more focused on enforcement, rather than a proactive approach to developing regulations or providing guidance to the industry for compliance. Further, regulatory engagement with the digital asset industry has primarily taken the form of investigation and enforcement actions, rather than developing clear pathways to compliance for those developing lawful tokenized securities.<h2>Regulation Based on Enforcement and Its Effect on Industry</h2>After the publication of the DAO Report, cryptocurrency and real-world asset (RWA) businesses found it hard to figure out how they could comply and create compliant products. Ebersole says that during this time, companies looking to work with the SEC were not getting a lot of responses from the agency; therefore, it was difficult for them to know if their new products would meet the requirements of the existing securities laws. This situation got worse after Gary Gensler became SEC Chairman in April 2021. For market participants, the decrease in communication between them and the SEC meant that the risk associated with regulatory action increased. This lack of engagement presented compliance hurdles for teams developing RWA platforms, particularly those developing tokenized equity products or yield-bearing instruments. This lack of clarity led to many early RWA projects delaying their launches until they could achieve regulatory compliance, and limiting their ability to offer accredited investors access to their products, or using buy-hold strategies and private placement offerings to avoid having to register with the public as a securities issuer.<h2>The Market of Regulation on Compliance and Complexity of Jurisdiction for RWAs</h2>The combination of international business and regulatory environment is complicated by many factors, including jurisdiction. There exists significant confusion regarding jurisdictional matters associated with RWAs. The global and tokenized nature of blockchain networks creates challenges for RWAT projects, as RWATs will have to operate under both multi-national and regional laws regarding security regulation. For example, if a tokenized asset structure complies with U.S. securities laws, it may also have to comply with requirements from other jurisdictions, such as Eurozone and various Asian Markets, which may require either additional licensing, disclosure, and/or investor protection.<h2>Reference: European Union MiCA Regulation, 2022</h2>Ebersole points out that fully compliant RWA platforms will have to meet many legal obligations relating to custody, disclosure, transfer restrictions, investor eligibility and secondary market trading that will overlap with many regulators. Further, due to their nature as yield-generating tokens, tokens that generate yield have also come under increased investigation, especially when passive returns are compared to traditional investment contracts (e.g., "cash-based" investment contracts) and not reward programs defined by staking or validation. Historically, the existence of these factors has been one of the driving forces behind the lack of liquidity in secondary trading markets and barriers to cross-border trades of tokenized assets.<h2>Evidence Point to a More Favorable Regulatory Approach</h2>Signs that regulators are becoming more tolerant have become apparent by late 2025. Major financial institutions like BlackRock and JPMorgan have publicly announced and/or piloted tokenized money market fund products, along with blockchain-based settlement systems. The BlackRock BUIDL Fund and announcements by JPMorgan about their Onyx platform indicate that these regulatory-related entities now have increasing institutional confidence that tokenized models may exist within current regulatory structures. Companies such as SoloTex are also enabling the tokenization of US equities within a compliant environment, in part because of the ability of retail investors to participate by using stablecoins as their method of settlement. By partnering with Sologenic, SoloTex has created a compliant way for retail investors to own tokenized representations of US equities. The 2025 market value of tokenized Real World Assets increased to over $23 billion, largely due to increasing levels of regulatory engagement and greater clarity around compliance expectations. This number was corroborated by recent reports from the Boston Consulting Group, McKinsey, and RWA.xyz, using their respective market data dashboards. In addition to providing regulatory clarity, <a href="https://www.lbank.com/explore/how-real-world-asset-tokenization-is-transforming-global-finance" rel="noopener noreferrer" target="_blank">RWA Tokenization</a> is becoming a widely accepted practical evolution of traditional models rather than an experiment, particularly for asset managers and broker-dealer participants who support the use of compliant ownership structures that utilize token representations of underlying assets legally registered with regulated custodians.<h2>The Future of Capital Markets - Looking Ahead</h2>Despite the uncertainty around the impact of new technologies and regulatory changes on capital markets, Ebersole is optimistic that U.S. securities laws continue to be flexible enough to allow for innovation, without requiring new regulatory frameworks or significant rewrites of current regulations. Rather than reinventing the wheel, regulators are increasingly focusing on developing practical implementation tools that facilitate the use of innovative technologies, including permissioned blockchain networks, verified digital identities, and hybrid on-chain and off-chain structures. RWAs have provided an exciting opportunity to modernize Capital Markets and create innovative products and services that improve the efficiency of capital markets. Through the use of Tokenization, businesses will have access to near real-time settlement, 24/7 trading availability, and a larger pool of potential investors for assets that were traditionally illiquid or only available to institutional investors. However, for Tokenization and RWAs to be successful long-term, there will need to be ongoing collaboration and interaction between innovators, traditional financial institutions, and regulators across multiple jurisdictions. As Ebersole notes, there now exists a clear path for platforms like Sologenic to connect traditional finance with Decentralized Infrastructure while complying with all current regulations. Compliant Tokenization will be possible when legal rigor and regulatory alignment are built into the initial design of the product or service, rather than being viewed as an afterthought. Therefore, while regulation is still the biggest limiting factor for the Capital Markets at this time, the biggest challenge facing the industry will be determining how quickly the industry will be able to adapt to current regulatory requirements.
